Welcome to Nemesis Fitness LLC (“Nemesis Fitness,” “we,” “us,” or “our”) and www.nemesisfitness.com (the “Site”). The Site and related services (including event registrations, programs, memberships, purchases, content, and communications) are provided as a service to our customers and community (collectively, the “Services”).

Please read these Terms & Conditions (the “Terms”) carefully. By accessing or using the Site or Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site or Services.

Nemesis Fitness may update these Terms at any time without prior notice. Your continued use of the Site after changes are posted means you accept the updated Terms.

1) Eligibility

You must be at least 13 years old to use the Site. If you are under 18, you may use the Site only with the consent and supervision of a parent or legal guardian.

2) Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and share information.

3) Use of the Site and Usage Restrictions

All content on the Site—including logos, trademarks, designs, text, images, videos, graphics, and other materials (“Content”)—is owned by or licensed to Nemesis Fitness LLC and is protected by intellectual property laws.

You may use the Site and Content only for your personal, non-commercial use. You may download, print, or store limited portions of Content provided that you:

use it for personal, non-commercial purposes only,
do not copy or post it on any network computer or distribute it in any media, and
do not modify or remove any copyright, trademark, or proprietary notices.

Except as expressly allowed above, you may not copy, reproduce, publish, distribute, transmit, publicly display, publicly perform, or create derivative works from our Content without our written permission.

Nemesis Fitness, the Nemesis “N styled” logo, and related marks are trademarks of Nemesis Fitness LLC.

4) Accounts

Some features may require creating an account. You agree to:

Provide accurate information
Maintain the security of your login credentials
Notify us of unauthorized access
Accept responsibility for all activity that occurs under your account

We may suspend or terminate accounts that violate these Terms.

5) Orders, Payments, and E-Commerce

If you purchase products or services through the Site:

You agree to provide valid payment and shipping information.
Prices, product descriptions, availability, and promotions may change without notice.
We reserve the right to refuse, cancel, or limit any order at our discretion (including due to suspected fraud or errors).

Pricing Errors

If a product is listed at an incorrect price due to a typographical or system error, we may cancel affected orders. If your payment has already been processed and we cancel, we will issue a refund to the original payment method.

Shipping, Returns, and Refunds

Returns and refunds (if offered) are governed by our Return Policy (as posted on the Site). Where a Return Policy is posted, it is incorporated into these Terms by reference.

6) Event Registrations, Programs, and Memberships

Nemesis Fitness may offer event registrations (e.g., races, fun runs, community events), programs, memberships, challenges, and other activities.

Unless otherwise stated in writing at the time of purchase/registration:

Registrations are non-transferable and may be non-refundable (common for event planning and vendor commitments).
We may require additional waivers and releases for certain events or activities.
Event details (date, time, location, course, format, sponsors, and included items) may change.

Event Changes / Cancellation

Events can be affected by weather, safety concerns, permits, city guidance, venue changes, staffing, or other circumstances outside our control. Nemesis Fitness may:

Adjust start times, routes, locations, format, or participation rules
Cancel or reschedule an event
Offer credits, transfers, or refunds only if explicitly stated for that event

7) Physical Activity & Medical Disclaimer

The Site and our social platforms may include content related to fitness, training, nutrition, or wellness for informational purposes only. This is not medical advice and does not replace guidance from a licensed healthcare provider.

You understand and agree that:

Physical activity carries inherent risks, including serious injury or death.
You are responsible for determining your fitness level and ability to participate.
You should consult a medical professional before beginning any fitness program or event participation.

To the maximum extent permitted by law, Nemesis Fitness LLC is not responsible or liable for injuries, damages, or losses resulting from your participation in physical activity or your use of the Site or Services.

8) User Conduct

You agree not to:

Harass, abuse, threaten, impersonate, or defame others
Post unlawful, obscene, invasive, or infringing content
Upload malware or attempt to disrupt Site security or functionality
Use the Site to solicit others for unrelated commercial services
Collect information from other users without permission

We may remove content or restrict access at our discretion.

9) User Submissions, Comments, and Feedback

Any comments, suggestions, ideas, or other submissions you provide (“Submissions”) may be used by Nemesis Fitness without restriction.

To the extent permitted by law, you grant Nemesis Fitness a perpetual, worldwide, royalty-free, irrevocable license to use, reproduce, modify, publish, translate, distribute, and display your Submissions in any media for any purpose, including commercial purposes.

You represent that your Submissions:

Do not violate third-party rights (copyright, privacy, trademark, etc.)
Are not unlawful, defamatory, or abusive
Are accurate to the best of your knowledge

10) Photos, Video, and User-Generated Content

Nemesis Fitness events and activities may be photographed or recorded. By attending or participating, you consent to being photographed/recorded and grant Nemesis Fitness the right to use your image/likeness (including UGC you tag or submit) for marketing, promotional, documentary, and business purposes in any media, without compensation, unless prohibited by law.

If you want to request removal of a specific image from our owned channels, contact us (Section 17). We’ll consider requests but cannot guarantee removal from third-party platforms or re-shares.

11) Third-Party Links

The Site may contain links to third-party websites or services. Nemesis Fitness is not responsible for third-party content, policies, or practices. Access them at your own risk.

12) Corrections, Errors, and Inaccuracies

Information on the Site may contain inaccuracies or omissions. We may correct or update information at any time without notice (including after an order is submitted).

13) Termination

These Terms remain effective while you use the Site. We may terminate or suspend access to the Site or Services without notice if we believe you violated these Terms or for any other reason.

Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute terms) will survive termination.

14) Disclaimer

THE SITE AND ALL MATERIALS, CONTENT, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.
To the fullest extent permitted by law, Nemesis Fitness disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be uninterrupted, secure, or error-free, or that defects will be corrected.

15) Limitation of Liability

To the fullest extent permitted by law, Nemesis Fitness LLC will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to your use of (or inability to use) the Site or Services, including participation in events, programs, or interactions with other users.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16) Indemnification

You agree to indemnify, defend, and hold harmless Nemesis Fitness LLC and its officers, directors, employees, agents, partners, and service providers from any claims, losses, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from:

your use of the Site or Services
your violation of these Terms
your Submissions or conduct
your violation of any law or third-party rights

17) User Interactions

You are responsible for your interactions with other users and participants. Use good judgment and take precautions when meeting people in person. Nemesis Fitness has no obligation to mediate disputes, but may do so at its discretion.

18) Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles, unless applicable law requires otherwise.

19) Miscellaneous

If any part of these Terms is found unenforceable, the remainder will remain in effect.
Our failure to enforce any provision is not a waiver.
These Terms constitute the entire agreement between you and Nemesis Fitness regarding the Site and Services, unless supplemented by additional event waivers or posted policies.
